D. Ryan Nayar

Chief Legal Officer

As Chief Legal Officer, Ryan oversees all legal matters for the Company, including developing and leading legal strategy to promote and protect the Company’s businesses.  Ryan joined the Company in 2022.  

Over the course of his career, Ryan has focused on the energy, technology, and financial services industries, and his broad responsibilities have included mergers and acquisitions, commercial agreements, procurement, operations, intellectual property, corporate governance, litigation and risk management, crisis response management, labor and employment, HSE, compliance, business development, and government relations. He also has been involved in ESG and diversity, equity and inclusion (“DEI”) initiatives.

Ryan previously served as Chief Legal Officer for Tri Global Energy, LLC until its sale to Enbridge in September 2022.  Prior to Tri Global Energy, Ryan was Vice President and Assistant General Counsel for ENGIE North America, Inc. from 2018 to 2021.  Prior to joining ENGIE, Ryan held various in-house legal positions in the digital and technology and energy sectors from 2012 to 2018, including with Centrica and Global Geophysical Services, Inc.  He previously practiced with elite AMLAW 100 law firms, including Locke Lord LLP and Vinson & Elkins LLP, from 2006 to 2012.

Ryan attended Claremont McKenna College where he received a Bachelor of Arts, cum laude, with a double major in Economics and Government (minor in Leadership Studies) in 2001.  At Claremont, Ryan was Captain of the internationally ranked Claremont Colleges Debate Union, and upon graduation, was presented with award for Best Debater in his Graduating Class.  Ryan then attended The University of Texas School of Law, where he received a Juris Doctorate with Honors in 2005.  While in law school, Ryan was a decorated advocate, including winning a national championship in moot court, the Thad Hutcheson Presidential Scholarship for Excellence in Trial Advocacy, the Mack Kidd Award for Most Outstanding Appellate Advocate, and being inducted into the Order of Barristers.

Ryan has been recognized as a “Top 50 General Counsel” and a “Top 100 Diverse Leader in Energy” by the National Diversity Counsel, and as a “Best Assistant General Counsel” by the Houston Business Journal. His pro bono legal work has been recognized by Texas Lawyer Magazine, and he is the recipient of the State Bar of Texas’s Humanitarian Award. He is a regular volunteer with organizations including the Houston Food Bank and Habitat for Humanity.

In addition to his role at the Company, Ryan serves on advisory boards for various technology companies, and is a member of the State Bar of Texas, Section of Business Law.
